Membership Terms and Conditions
This Membership Agreement (the "Agreement") is effective January 1, 2022, by and between STRATFORD LAPEER CONSULTING, a division of STRATFORD FINANCIAL SOLUTIONS, INC., a Texas for-profit corporation (“STRATORD”), accessed via www.stratfordlapeerconsulting.org ("Website"), or Telegram, TikTok, Instagram, Clubhouse, Facebook, Myspace, &c. ("Social Media") or through its principal office located at 417 E. Loop 281, Longview, Texas, or any office, postal or lock boxes, by all members whether heretofore or hereafter acquired (the "MEMBERS").
Wherever the context shall require, all words herein in the masculine gender shall be deemed to include the feminine or neuter gender, all singular words shall include the plural, and all plurals shall include the singular. Whenever the pronouns "he" or "his" are used herein, they shall also be deemed to mean "she" or "hers" or "it" or "its" whenever applicable.

STRATFORD commits to creating and providing diverse educational opportunities tailored to the needs and interests of our members. This includes organizing seminars, workshops, and other learning programs designed to enhance the knowledge and skills of our community.
STRATFORD endeavors to engage in activities that strengthen community bonds and support the welfare of our members. This includes, but is not limited to, community outreach programs, volunteer initiatives, and support services that cater to the diverse needs of our members.
In carrying out our objectives, STRATFORD shall exercise all powers conferred upon it by the internal laws governing our organization. This includes managing our resources, governing our membership, and undertaking actions necessary for the effective operation of the division. All activities and powers exercised by STRATFORD will be in strict adherence to the scope and purpose as defined in our governing documents.
Our actions will consistently reflect our commitment to the betterment of our members and the community at large, respecting the principles and values that are the foundation of STRATFORD. Our approach is holistic and member-centric, ensuring that every initiative, program, and decision is aligned with the overarching goal of enriching the lives of our members and contributing positively to the broader community.
MEMBERS shall fill in the correct information requested in the User Registration form on the site. MEMBERS shall be bound to a nondisclosure and privacy policy upon enjoyment of STRATFORD. MEMBERS shall be required to promptly update the User Information on the Website or social media before all use of the Website and social media are made available, and to maintain the confidentiality of the MEMBER’s information.
The Content includes document samples and other services provided through the membership and site.
It is an implied duty upon the MEMBERS that the MEMBERS agree to be held and liable for their language, attitude, general manner and demeanor, actions, and use of the Website and social media, and upon the effective date of this Agreement, agree to hold harmless and release STRATFORD from any and all liability upon breach of said implied duty.
STRATFORD shall not sell, lease, rent or advertise to sell, lease or rent MEMBER’S personal information to third parties without MEMBER’S explicit consent. STRATFORD shall store and process MEMBER’S information on computers located at their principal office that are protected by physical as well as technological security devices. However, STRATFORD shall be permitted to access and modify MEMBER’S information.
MEMBERS shall indemnify and hold STRATFORD harmless, ibid Sec. 4, this is to include without limitation its officers, directors, agents, subsidiaries, trusts, joint ventures, payees, and employees, from any claim or demand, including reasonable attorneys’ fees, made by a third party due to or arising out of MEMBER'S breach of this Agreement, or MEMBER'S violation of the law or the rights of a third party.
This Agreement intends or creates no agency, partnership, joint venture, employee-employer, or franchisor-franchisee relationship.
MEMBER shall choose to terminate their membership for whatsoever reason, but such termination does not discharge MEMBER from any payment obligation prior to termination and shall still remain subject to these terms until discharged by STRATFORD.
A breach of this contract shall serve a penalty of $250,000.00 per offense not to exceed $250,000.00. A negotiating, taking, tendering, exchanging, bargaining, selling, gifting, or sharing of any copyright, trademark, or service mark information, or material shall be considered a breach of these terms and shall be prosecuted to the fullest extent that law will permit. See Section 18, infra.
This Agreement shall be governed by and construed in accordance with the internal laws of STRATFORD, without regard to conflicts of law principles. The performance or occurrence of conditions precedent, concurrent, and subsequent are alleged within the jurisdiction of STRATFORD. These terms and conditions shall have been considered executed and acknowledged by the MEMBERS, the access to the Website and social media delivered to the MEMBERS, and the payment delivered in exchange therefor, and shall be construed according to the internal laws of STRATFORD.
Except as otherwise provided herein, any controversy or claim, including, without limitation, errors and omissions arising out of or relating to this Agreement or breach of the Agreement, will be settled by arbitrators using the rules of the American Arbitration Association ("AAA") with the appropriate number of arbitrators selected in accordance with the rules, the venue for which will be in Longview, Texas, at STRATFORD’S sole discretion. The arbitration judgment will be final and binding upon the parties and may be entered in the E.D. Tex. This provision will not prohibit or limit STRATFORD’S right to seek injunctive and/or equitable relief in a court of law or other venues for the purpose of enforcing STRATFORD’S rights under this Agreement. Except as otherwise set forth herein, should an action, including arbitration, be brought by either party to enforce any provision of this Agreement, then the prevailing party shall be entitled to its cost and reasonable attorneys’ fees incurred therein.
MEMBERS shall not hold STRATFORD responsible for the outcome of any content, documentation, or information used. Any and all legal information provided is not a substitute for legal advice. All parties are encouraged to seek legal advice.
We have a strict no-refund policy. As information is shared digitally, there can be no return of the product for a refund. If for any reason MEMBERS are removed from the Website or social media for cause, there will not be a refund of any monies, funds, or the like of whatsoever specie, and the information stored or acquired by STRATFORD will be destroyed and purged from its records.
Any false chargeback is considered a breach resulting in a fine, and said actor agrees to pay to the order of STRATFORD a sum of $50,000.00.
Please help us to serve you and all of our clients and other customers better by keeping your scheduled appointment. There is a $2,500.00 charge for any broken appointments without a 12-hour notice as well as for any no-show appointments.
Payment of your bill is considered part of your requested service. We realize that every person’s financial situation is different. We have worked hard to provide a variety of payment options. Payment is due at the time of service. In addition to the payment agreement, you agree to furnish disbursements for any additional and reasonable costs for outside charges as they occur. Delinquent accounts will be reported to our collection service responsible for all collection and attorney fees. Please advise us if your payment will be late at least 7 days prior to the due date, or a $35.00 late fee will accrue on the account weekly until paid in full or within 6 months of the first payment due, whichever comes first.
The MEMBERS of STRATFORD hereby agree, as a covenant of their membership, that they shall not engage in any actions that disparage, denigrate, slander, libel, or otherwise defame STRATFORD, its fellow members, or any aspect of its operations, including but not limited to its personnel, services, properties, or assets.
In the event of any conflict or dispute arising from or related to this Agreement or any interactions within STRATFORD, the parties shall make a good faith effort to resolve such conflicts amicably through internal STRATFORD mediation procedures, as outlined in Section 11. It is the express intent of the parties to avoid litigation and court involvement in such matters.
All MEMBERS of STRATFORD acknowledge and agree that issues related to defamation claims or other conflicts of a similar nature shall be subject to the internal dispute resolution mechanisms established by STRATFORD and governed by its bylaws and rules.
